Piper Companies is seeking a Corporate Governance & Securities Counsel Director to support a leading publicly traded healthcare technology company working remote with some travel to AZ on a 8 month contract with likelihood to extend. The ideal Corporate Governance & Securities Counsel Director will provide legal guidance on corporate governance, SEC reporting, securities compliance, board matters, and public company requirements while partnering with business leaders across the organization.
Responsibilities of the Corporate Governance & Securities Counsel Director:
- Support Board of Directors and committee governance activities.
- Prepare and review board materials, resolutions, meeting minutes, and annual shareholder meeting documentation.
- Lead SEC reporting and disclosure activities, including Forms 10-K, 10-Q, 8-K, S-8, and Proxy Statements.
- Oversee insider trading compliance, Section 16 reporting, Rule 144 matters, and 10b5-1 trading plans.
- Monitor SEC regulations, Nasdaq listing standards, and corporate governance developments.
- Partner with Finance, Investor Relations, Treasury, Tax, and HR teams on disclosure and compliance matters.
- Support earnings releases, investor communications, and disclosure reviews.
- Provide legal support for financing transactions and other corporate initiatives.
- Oversee subsidiary governance, entity management, and compliance activities.
- Drive process improvements and support technology, automation, and AI initiatives within legal operations.
- Manage outside counsel and support corporate transactions and restructuring efforts.
Qualifications of the Corporate Governance & Securities Counsel Director:
- 12+ years of corporate legal experience within a law firm, publicly traded company, or a combination of both.
- Strong experience with SEC reporting, securities law compliance, and corporate governance matters.
- Knowledge of SEC regulations, Nasdaq listing standards, SOX, Dodd-Frank, and insider trading regulations.
- Experience supporting Board governance, proxy statements, and annual shareholder meetings.
- Ability to advise executives and cross-functional stakeholders on governance and compliance matters.
- Experience partnering with Finance, Treasury, Investor Relations, Tax, and Human Resources teams.
- Strong organizational, project management, and communication skills.
- Experience with Workiva, Wdesk, Intelligize, or similar governance and reporting platforms preferred.
- Juris Doctor (JD) degree from an accredited law school and active license to practice law in at least one U.S. jurisdiction.
Compensation for the Corporate Governance & Securities Counsel Director includes:
- Hourly rate: $125 - $135 / hr depending on experience
